STATUTORY AND GOVERNMENT AUTHORISATIONS

We have a strong team of diverse professionals and expertise in obtaining the statutory approvals required for setting up of a plant, under the Indian regulations.We have, in the recent past, undertaken several voluminous activities in terms of obtaining the approvals required for the plants as well advising our clients with respect to the licensing processes. This includes licenses/ permits under the factory laws and environmental laws.
Our team has also developed exceptional rapport with the Government departments, which helps us to deliver the results in the right foresight and within a reasonable time.

GENERAL CORPORATE AND COMMERCIAL LAWS

PSP LEGAL provides consultation on corporate and commercial law matters, including formation and association of Indian, foreign and mixed companies in India, joint ventures, foreign investments, initial public offerings, mergers, acquisitions, amalgamations, Public Private Partnership and power projects.

As part of our practice, we regularly advise companies on transitioning from limited liability to joint stock companies. We have worked on many joint venture agreements and advised foreign international companies on their preferred business structures and company formations.

In addition to M&A, the team also works extensively on commercial contracts such as equipment purchase/ supply agreements, distribution/ franchise arrangements, trademark licenses, master service agreements, consultancy/ employments contracts and so on and so forth. ARBITRATION AND MEDIATION LAWS

PSP LEGAL advises and represents clients anywhere in the world on the entire spectrum of domestic and international arbitration process, including early case assessment and definition of arbitration strategies, pre-dispute negotiations, selection of arbitrators, the filing and conduct of arbitration proceedings, advocacy at arbitration hearings, the discovery process, and the confirmation, challenge and enforcement of arbitral awards.  Other legal services relating to international arbitration include the filing or defense of applications for interim measures before domestic courts, such as injunctions, attachments and orders to preserve evidence.  Our law firm works closely with local counsel, witnesses, experts (such as forensic accountants, damages experts and industry experts), and other outside vendors such as e-discovery and litigation support services, on an as-needed basis. Our Law Firm has experience with other alternative disputes resolution methods such as mediation (often included in combination with arbitration in commercial contracts) and expert determinations; advises on the particular option best suited to a particular client’s business needs.

INDUSTRIAL LABOUR AND EMPLOYMENT

PSP LEGAL has a dedicated team of attorneys who specialize in issues and concerns related to employment and labour laws.The Firm is currently advising a number of multinational companies including several companies in the IT/ITES sector, on employment and service related issues. It has also been representing clients before various courts and tribunals, ranging from basic domestic enquiries to cases before the Supreme Court of India.
The Firm is extensively involved in advising and drafting of employment agreements, employee handbook, consultancy agreements, service bonds, deputation agreements, grievance settlement procedures, policies to prevent sexual harassment, leave policies, rules & regulations, certification of standing orders, and memoranda of settlement with trade unions, amongst others.
PSP Legal has also successfully conducted numerous human resource audits, which generally focus on issues pertaining to compliance with all necessary employment statutes’ requirements under the Union law; compliance with the rules of employment; compliances with respect to outsourced staff (e.g. contract labour) and the legal consequences involved; analysis of complaints pertaining to sexual harassment, analysis of the possible liabilities of the company in case of any employee related dispute.

PROJECT FINANCE AND INFRASTRUCTURE

We have extensive experience in handling matters concerning project finance and have a specialized team of lawyers exclusively dealing with matters concerning financial arrangement and representing both lenders and banks. Our lawyers have extensive experience in drafting and dealing with documents like consortium/multiple lending loan agreements/ bridge loan documents, debenture subscription agreement, debenture trust deeds, deed of mortgage/ creation of mortgage by deposit of title deeds, deed of hypothecation/ guarantee/ promissory notes, pledge agreements, deferred payment guarantees, underwriting contracts, escrow agreements, credit agreements, concession agreements, etc.
In India, project finance exists across different sectors, where some of these are specifically regulated or organised by the government like telecoms, ports, roads and highways, power, etc. and others like general industrial and manufacturing sectors, have no specific regulator. Therefore, whilst drafting the agreements/ documentation concerning a specific project finance deal, we specifically advise our clients on major aspects like risk allocation, collateral securities, local laws that will be applicable to the deal, etc
